• Represent and advise the company on high-complexity/high-impact engagements with governmental, regulatory and commercial counterparties. • Draft, negotiate, and review commercial and government sales contracts, NDAs, and other legal documents. • Ensure compliance with all of Apex’s contractual obligations and applicable regulatory requirements, including but not limited to U.S. export controls. • Develop and implement scalable processes and systems within the legal and compliance function, including a contract management system and legal review framework. • Draft and implement strategic and operational risk management policies and procedures. • Support the protection of the company’s intellectual property. • Retain, direct and review the work of outside counsel, as necessary. • Grow to serve Apex as the industry expert and resource across the organization. • Other duties and special projects as assigned.
• U.S. Persons status is required as this position needs to access export-controlled information. • Juris Doctorate from an ABA-Accredited law school, and an active member in good standing of a state bar. If not already a member of the State Bar of California, the successful candidate must be eligible to register with the State Bar of California as Registered In-House Counsel. • At least 3+ years corporate law experience at a major law firm and/or as an in-house legal counsel. • Aerospace or defense industry experience is a plus. • Government contracting experience and familiarity with FAR is a plus. • EAR, ITAR, and other regulatory and governance experience is a plus.
