• Conduct legal research and analysis on various corporate issues • Provide legal advice and guidance on securities law, equity management, contracts, compliance, and other legal matters • Handle various corporate governance activities, those related to the company's insider trading policy and procedures • Draft and review legal documents, including contracts, agreements, and policies • Represent the company in negotiations and other legal matters • Collaborate with internal stakeholders to ensure compliance with applicable laws and regulations • Stay updated on changes in laws and regulations that may impact the company's operations • Assist in the development and implementation of corporate policies and procedures
• JD degree from an accredited law school • Membership in a state bar association (California preferred) • Significant experience as a corporate attorney, including demonstrated expertise in advising publicly traded companies on SEC filings and other corporate disclosures, corporate governance, equity management and securities law compliance matters • Strong securities and corporate law background, including detailed knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934 and corporate governance principles for publicly traded companies • Strong knowledge of corporate law principles, regulations, and best practices • Proficiency in conducting legal research • Excellent legal drafting and research skills with strong attention to detail and accuracy • Excellent verbal, written, and interpersonal communication skills including the ability to effectively communicate complex legal concepts to non-legal stakeholders • Experience in negotiating and drafting financing and other contracts • Biopharma, medical device or diagnostics industry experience preferred • Ability to work effectively in a fast-paced start-up with a high degree of collaboration
