Description
• Advise on Complex Issues: Provide guidance on a range of complex corporate/securities issues and negotiate commercial and strategic agreements. • Corporate Governance: Maintain and update corporate records and filings for all entities, including our US parent company, international subsidiaries, and joint ventures, ensuring accurate and current information for corporate governance and legal compliance purposes. Work on Board, Committee, and other corporate governance matters for TFH and our subsidiaries and joint ventures. • Strategic Transactions: Assist with a variety of corporate and securities transactions, including M&A and other strategic investments. • Equity and Token Management: Work closely with our finance and stock/token administration teams on equity matters and administration. • Draft and Review Legal Documents: Prepare, review, and manage a variety of legal documents and commercial contracts.
Requirements
• J.D. degree from an accredited law school and membership in good standing in at least one state bar • 4-8+ years’ experience as a corporate, securities, M&A, or emerging companies attorney at a top firm or in-house (a combination is even better!). No prior Web3 or blockchain experience required. • Able to generally be in the office in San Francisco, CA • Positive and collaborative attitude, comfortable with change and a fast-paced environment, and exhibits an insatiable intellectual curiosity
