Description

• The Sr. Commercial Counsel is responsible for drafting and reviewing all types of commercial contracts, negotiation of the company’s strategic contracts with suppliers, vendors, contractors, affiliates and other entities, and becoming a trusted adviser to the business on contract terms and negotiation. • Sr. Commercial Counsel is an attorney with significant in-house experience, and a background in procurement and sales contracts in the technology world, strategic relationships, and intellectual property regimes within commercial contracts.

Requirements

• Law degree (JD) from a law school accredited by the American Bar Association required • Active member of the State Bar of California, or qualified to practice in California as a Registered In-House Counsel • Minimum of ten (10) years of experience as a commercial transactions attorney, preferably in-house with one or more technology companies • Thorough understanding of intellectual property rights, ownership, and licensing in the context of commercial contracts • Thorough understanding of Uniform Commercial Code Article 2 and common law contracts principles • Experience drafting, negotiating, and finalizing different types of agreements, including joint development contracts • Experience supporting active research and development programs in the aerospace, transportation, or technology industry • Experience working with cloud-based contract management systems • High degree of personal ethics, integrity, and accountability, with particular emphasis on team building and inclusion • Excellent communication skills, including proactive delivery of communication and follow-up
